Terms of Use for Demo Use of VISBO Software

1. Scope and Liquidation Notice

VISBO GmbH has been in liquidation since January 1, 2026, pursuant to §§ 66 et seq. GmbHG (German Limited Liability Companies Act). No operational SaaS business is conducted.

These Terms of Use govern the exclusively free-of-charge use of the VISBO demo environment (e.g., my.visbo.net) for the following purposes:

• Software demos and evaluation
• Testing and prototyping
• Technical review by potential asset acquirers

By using the demo environment, the user fully accepts these Terms.

2. No Contractual Service Relationship

The provision of the demo environment does not establish a contractual relationship for the provision of SaaS services. No subscriptions, licenses, or other paid services are offered. Demo use is free of charge and voluntary.

3. Use at Own Risk (“As-Is”)

The demo environment is provided exclusively “as-is”. The user acknowledges and accepts:

• No warranty for functionality, error-free operation, or fitness for particular purposes
• No guarantees of any kind, whether express or implied
• No assurance regarding availability, duration of operation, or continuity of service
• No backups – data backup is solely the user’s responsibility
• Termination at any time without prior notice possible
• No obligation to notify of changes or shutdown

4. Disclaimer of Liability

To the extent permitted by law, VISBO GmbH i. L. assumes no liability for:

• Data loss, data corruption, or data theft
• Outages, interruptions, or unavailability of the service
• Direct, indirect, incidental, or consequential damages of any kind
• Lost profits or economic disadvantages
• Damages arising from use or inability to use

Liability is limited – to the extent permitted by law – to intent and gross negligence. Liability for damages resulting from injury to life, body, or health remains unaffected.

5. User Obligations

The user agrees to:

• Not store any productive or business-critical data in the demo environment
• Not enter any sensitive personal data
• Not use the demo environment for illegal purposes
• Not attempt to gain unauthorized access to third-party systems or data
• Not impair the integrity and security of the systems

6. Intellectual Property

All rights to the VISBO software, including trademarks, copyrights, and other proprietary rights, remain with VISBO GmbH i. L. Demo use does not grant any license or ownership rights. The VISBO software source code is available on GitHub under AGPL v3 with Commons Clause.

7. Privacy

The processing of personal data is governed by the separate Privacy Policy of VISBO GmbH i. L.

8. Termination

VISBO GmbH i. L. may suspend or terminate access to the demo environment at any time and without stating reasons. The user has no claim to continuation of the service or release of data.

9. Final Provisions

Governing Law: German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Jurisdiction: For all disputes, the courts of Munich shall have exclusive jurisdiction, to the extent permitted by law.

Severability: If any provision is invalid, the remaining provisions shall remain in effect.

Amendments: VISBO GmbH i. L. reserves the right to amend these Terms of Use at any time. The current version applies from publication on the website.
